BIOGRAPHY OF GUEST SPEAKER,
AMY M. ROEBUCK
Amy M. Roebuck is an associate in the Litigation Department of Morrison & Foerster’s San Diego office. Her practice focuses on securities, business, and complex litigation, as well as trade secret
and labor and employment law matters. Prior to joining Morrison & Foerster LLP, Ms. Roebuck was an associate at Fish & Richardson
P.C., where she was a member of the White-Collar, Government,
and Securities Litigation group. Her experience includes representing companies and their executives in shareholder class actions. She is also experienced in merger and derivative litigation in both federal
and state courts, and in investigations, administrative proceedings,
and lawsuits brought by the enforcement divisions of several
regulatory agencies including the SEC, the National Association of Securities Dealers (NASD), and the stock exchanges. Ms. Roebuck began her legal career as an associate at Cooley & Godward LLP
(2001-2003). She also worked as a summer associate at Jenner and Block (2000), Smith, Anderson, Blount, Dorsett, Mitchell, & Jernigan, LLP (1999, 2000), and Adams, Kleemeier, Hagan, Hannah, & Fouts
PLLC (1999).
Ms. Roebuck received her B.A. from Wake Forest University in 1998, graduating summa cum laude. She attended the University of North Carolina at Chapel Hill School of Law, receiving her J.D. in 2001 with high honors and as a member of the Order of the Coif. During law school, she wrote for the NC Journal of International Law and Commercial Regulation. She is currently serving as the Co-Chair for the Carmel Valley Section of the San Diego Bar Association. Ms. Roebuck is admitted to practice in California and before the U.S. District Courts for Southern and Eastern Districts of California.

Ms. Roebuck’s current and recent securities litigation and SEC enforcement engagements include the following:
- Representation of Audit Committee of public company’s Board of Directors in connection with internal investigation and SEC inquiry arising from accounting restatement.
- Representation of public accounting firm and its professionals in multiple SEC investigations.
- Representation of Netlist, Inc. and its officers and directors in connection with shareholder litigation.
- Representation of Special Committee of public company’s Board of Directors in connection with internal investigation and SEC inquiry regarding stock option issues.
- Representation of The Sands Regent in connection with merger litigation pending in Nevada state court, following merger with Herbst Gaming.
- Representation of Kintera, Inc. and its directors and officers in shareholder derivative lawsuit in San Diego County Superior Court. Following successful demurrers on behalf of the company and the individuals, plaintiff dismissed the case.
- Representation of Multi-Fineline Electronix, Inc. in litigation arising from potential acquisition.
- Representation of Level 3 Communications subsidiary in connection with shareholder claims arising from Peregrine Systems securities fraud allegations.
- Representation of Infineon Technologies AG and its officers in federal securities class action pending in the Northern District of California.
- Representation of Goya Foods, Inc. in connection with corporate control litigation in Delaware Chancery Court. Obtained verdict in client’s favor.
- Representation of Gemstar-TV Guide International, Inc. in connection with investigation by SEC’s Pacific Regional Office arising from $250 million accounting restatement, which was resolved without any fraud-based sanctions.
